1. Scope

1.1 These General Terms and Conditions apply, unless otherwise agreed in writing, between Ljubica LIilich (hereinafter referred to as the Contractor) and the Client (hereinafter referred to as the Client).

1.2 The contract and thus the cooperation come into effect when the client accepts the general offer of the contractor through conclusive action and contacts the contractor for this purpose.

1.3 The contractor is entitled to reject a contract without giving reasons.

1.4 The contractor is entitled to terminate the contract if the necessary relationship of trust no longer appears to exist. This applies in particular if the client provides incomplete information for clarification of the contract, the client rejects the content of the consultation or methods are thwarted.

2. Subject matter of the contract

2.1 The Contractor’s services are provided by her as a self-employed psychologist and consultant.

2.2 The time frame, form, content, topics and objective will be agreed individually in mutual consultation between the client and the contractor.

2.3 Depending on the agreement, the agreed services can be provided both digitally and offline, i.e. face-to-face.

2.4 Depending on the agreement, the Contractor’s services may be provided in the form of individual or couples sessions, workshops, individual or group consultations and coaching, lectures or seminars (face to face/online).

2.5 The Contractor cannot guarantee the success of a service.

3. Rights of Use

The contractor has the copyright to all materials created by him/her and made available to the client. The prior written consent of the contractor must be obtained for distribution and/or reproduction.

Duty to cooperate

4.1 For optimal results, it is necessary that the client keeps the contractor informed of all information required to carry out the order and discloses himself/herself completely to the contractor. Questions will be answered by the client to the best of his/her knowledge and belief. This also includes information about existing mental illnesses, or any other relevant health issues and conditions.

4.2 The client is responsible for the implementation of the developed and agreed (house) tasks.

4.3 The Contractor must be kept fully informed of all successes, deteriorations and “side effects” throughout the entire duration of the contract.

Confidentiality

5.1 The contractor undertakes to keep confidential information secret. This obligation also applies after termination of the contract.

5.2 Confidential information will only be used for the purpose of the specified order.

5.3 With the written or online video consent of the Client, the Contractor may pass on confidential information to third parties.

5.4 The client agrees to the electronic processing of his/her data.

Fees & Invoicing

6.1 The Contractor is entitled to a fee for its services. Hourly, daily or flat-rate fees are agreed for services under 2.1 and 2.4.

6.2 Additional costs (for materials, assistants, etc.) will be charged separately after consultation with the client.

6.3 Travel and accommodation costs as well as meals for the Contractor will be charged separately.

6.4 The Client is responsible for booking the location to carry out the order.

6.5 All services are subject to statutory VAT. 6.6 Unless otherwise agreed in writing, agreed fees will be invoiced immediately after the contract for a service has been concluded in accordance with 2.1 and 2.4. Payment is due no later than 7 days after completion of the service.

6.7 Rights of set-off and retention are excluded.

Refunds

7.1 The client has no right to reclaim fees already paid in the event of premature termination of the contract.

7.2 If the client fails to attend agreed appointments without excuse, these will remain part of the fee invoice.

Performance change and unused performance

8.1 If an agreed appointment is canceled by the client 24 hours prior to the session, a cancellation fee must be paid 100% of the agreed fee.

8.2 Payment will not be made if the client can prove that clinet cancels the appointment 24+ hours from the meeting.

8.3 If only individual services are not used by the client, the contractor reserves the right to invoice the entire agreed fee.

8.4 If the client is unable to attend a digital appointment at short notice due to technical difficulties, the contractor reserves the right to invoice 100% of the agreed fee.

Contract Amendment

9.1 Any changes to the contract must be in writing to be legally effective.

9.2 The legal relationship between Ljubica Lilich and the contractual partner is subject exclusively to the law of the Federal Republic of Germany. 

Severability Clause

Should any provision of the contract or of these General Terms and Conditions be or become invalid or void in whole or in part, this shall not affect the validity of the provisions and of the contract as a whole. Rather, the invalid or void provision shall be replaced by a provision that comes closest to the purpose of the contract and the interests of the contracting parties..
